Eni avvia la cessione del 10% del capitale sociale di Saipem
San Donato Milanese, 11 giugno 2024 – Eni S.p.A. (“Eni”) comunica di avere avviato la
ordinarie Saipem S.p.A. (“Saipem”) pari a circa il 10% del capitale sociale.
Le azioni oggetto del collocamento non rientrano tra quelle vincolate nel patto parasociale
in essere tra Eni e CDP Equity S.p.A. che non sarà soggetto a modifiche e permane altresì
il controllo congiunto su Saipem in forza del medesimo1. Eni, infatti, ad oggi è titolare di circa
il 31,19% delle azioni ordinarie di Saipem, di cui circa il 18,69% liberamente trasferibili e non
sindacate.
Il collocamento sarà destinato ad investitori istituzionali, e sarà eseguita da un consorzio di
banche costituito da Citigroup, Goldman Sachs International, Intesa Sanpaolo, Natixis e
UniCredit in qualità di Joint Global Coordinators e Joint Bookrunners.
Nell’ambito dell’operazione, Eni si è impegnata con i Joint Bookrunners a non vendere sul
mercato ulteriori azioni di Saipem per un periodo di 180 giorni senza il consenso degli stessi
e salvo esenzioni, come da prassi di mercato.
I termini finali del collocamento saranno comunicati al termine dello stesso.
Come noto, Eni S.p.A. e CDP Equity S.p.A. hanno sottoscritto un patto parasociale avente a oggetto azioni ordinarie di
Saipem S.p.A. le cui informazioni essenziali sono disponibili sul sito della medesima Saipem S.p.A. e della Consob.
