Eni e PETRONAS uniscono asset Upstream in Indonesia e Malesia
San Donato Milanese (MI), 27 febbraio 2025 – Eni e PETRONAS hanno annunciato un Memorandum of Understanding esclusivo per definire la costituzione di una Joint Venture per la gestione di una selezione di asset Upstream in Indonesia e Malesia.
Le società ritengono che questa JV creerà significative opportunità di crescita, sia in Malesia che in Indonesia, e potrà generare sinergie efficaci per diventare uno dei principali operatori nel settore del GNL nella regione, garantendo nel medio termine una produzione sostenibile di 500 mila barili di olio equivalente al giorno. Le riserve della joint venture ammontano a circa 3 miliardi di barili di olio equivalente (boe), e il potenziale esplorativo è di circa 10 miliardi di boe.
La joint venture si concentrerà su investimenti in nuovi progetti di sviluppo di gas, riflettendo l’impegno delle società nella transizione energetica e supportando la crescente domanda regionale di gas. Verrà sviluppato un business plan completo per cogliere le opportunità future nell’ambito dell’esplorazione, dello sviluppo e della potenziale crescita del portafoglio.
In base a questo accordo, gli asset manterranno la loro attuale struttura operativa, con un’attenzione particolare alla salute, la sicurezza e l’ambiente (HSE), alle tempistiche di realizzazione dei progetti e all’efficienza, mentre entrambe le società continueranno a mantenere i rispettivi impegni nell’ambito della sostenibilità. La nuova società farà leva sulle competenze e sulle capacità finanziarie di Eni e PETRONAS e si prevede che possa auto finanziarsi anche attraverso contributi esterni.
Eni e PETRONAS mirano a garantire la stabilità della produzione per gli asset in Malesia, e al contempo sostenere gli investimenti necessari per i nuovi sviluppi in Indonesia.
Eni e PETRONAS hanno informato i governi indonesiano e malese delle loro intenzioni. Qualsiasi transazione finale sarà soggetta alle approvazioni governative, regolatorie e dei partner.

Eni and PETRONAS to combine Upstream assets in Indonesia and Malaysia
San Donato Milanese (Milan),27 February 2025 – Eni and PETRONAS have announced an exclusive Memorandum of Understanding to progress detailed discussions on establishing a joint venture holding company to oversee selected upstream assets in Indonesia and Malaysia.
Both companies believe that this joint venture will create significant opportunities for growth, both in Malaysia and Indonesia, and is expected to generate substantial synergies towards becoming a major LNG player in the region, while delivering in the medium term a sustainable 500 kboepd production. The joint venture will combine approximately 3 billion barrels of oil equivalent (boe) of reserves with an additional 10 billion boe of potential exploration upside.
The joint venture will focus on investing in new gas development projects, reflecting the companies’ commitment to energy transition and supporting the increasing regional domestic gas demand. A comprehensive business plan will be developed to capture future opportunities in exploration, development, and potential portfolio growth.
Under this arrangement, the assets will retain their current operational structure, with a focus on health, safety and environment (HSE), project delivery and efficiency, while both companies continue to uphold their sustainability commitments. The new company will leverage the competencies and financial capabilities of both Eni and PETRONAS and is expected to raise external financing on a standalone basis.
Eni and PETRONAS aim to ensure stability in production for Malaysian assets while supporting timely new developments in Indonesia.
Both Eni and PETRONAS have informed the Indonesian and Malaysian governments of their intentions. Any final transaction will be subject to relevant governmental, regulatory, and partner approvals.
